Thalovant End User Licence Agreement

1. Relationship with other terms

This EULA adds to the Terms of Service (for consumers) or the Business Terms (for organisations). If they conflict about the Software, this EULA applies; for everything else, those terms apply, including their sections on liability, governing law and disputes and, for consumers, the regional chapters in Part B of the Terms of Service.

2. Licence

2.1 Grant. Subject to this EULA, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install and use the Software in object code form on devices you own or control, only to access and use Thalovant under your plan.

2.2 Organisations. If you are an organisation, your Authorised Users may install and use the Software on devices you own or control, for your internal purposes and in your places, within the limits of your plan.

2.3 Copies. You may make copies of the Software only as needed to install and back it up.

3. Restrictions

Except as this EULA allows, or where the law gives you a right that cannot be excluded by contract (for example, the right to decompile software to achieve interoperability under the laws implementing article 6 of Directive 2009/24/EC), you must not:

1. copy, modify, translate or create derivative works of the Software;
2. decompile, disassemble or reverse engineer the Software, or try to extract its source code;
3. distribute, sell, rent, lend, sublicense or otherwise make the Software available to others, or host it for others;
4. remove or alter any notices of ownership or licence;
5. circumvent licence checks, limits or security features, or use the Software to access Thalovant in a way the Terms or Business Terms do not allow; or
6. use the Software in breach of the Acceptable Use Policy or of export control and sanctions laws.

4. Open-source components

The Software includes open-source components, such as components from the OpenVoiceOS and HiveMind projects. Each is licensed under its own licence, listed in the Software's about or licences screen and in its download package. Those licences govern the open-source components, and nothing in this EULA limits your rights under them. Where an open-source licence requires us to offer source code, we make it available as that licence requires.

5. Microphone, data and privacy

5.1 Microphone. The Software uses your device's microphone only after you grant permission in your operating system. You can withdraw that permission at any time in your operating system settings.

5.2 Audio. Audio captured by the Software is sent to Thalovant only to convert it to text and answer you. We do not store raw audio and do not identify speakers. The Privacy Notice explains what we keep and for how long.

5.3 Diagnostic information. The Software sends technical information needed to connect and to keep it working, such as its version, device type and operating system, and error reports.

6. Updates

We may provide updates that fix bugs, improve security, add or change features, or keep the Software compatible with Thalovant. Some updates install automatically. For consumers in Europe, we provide the updates needed to keep the Software in conformity for as long as your contract requires. If you do not install an update we tell you is required, the Software may stop connecting to Thalovant.

7. Downloads

Official downloads are distributed through our website and GitHub releases. Only install the Software from those sources. We are not responsible for copies obtained elsewhere.

8. Ownership

We and our licensors own all rights in the Software. Except for the licence in section 2, no rights are granted to you.

9. Termination

This licence ends automatically when your Thalovant account or contract ends, or if you breach this EULA and do not fix the breach after we tell you about it. When it ends, you must stop using the Software and uninstall it. Sections 3, 8 and 10 survive.

10. Warranty and liability

The Software is covered by the warranty, disclaimer and liability sections of the Terms of Service or the Business Terms, as applicable. Your statutory rights as a consumer are not affected.

11. Government users

If the Software is acquired by or for the United States government, it is "commercial computer software" and "commercial computer software documentation", and the government's rights are only those granted in this EULA.
