Thalovant Publisher Terms
The rules for publishing a public hub or a skill to the Thalovant catalogue, including review before listing.
1. What can be published
1.1 Public hubs. Public hubs can be listed in the catalogue by organisations whose Work plan includes public hubs. Home-line plans cannot list public hubs.
1.2 Skills. Skills can be submitted to the store by Publishers who accept these terms. We decide which skills are offered in the store and on which plans.
1.3 No listing without review. A Listing is not visible in the public catalogue or store until we have reviewed and approved it. Material changes to a Listing (for example new capabilities, new data collection, or a new audience) are reviewed again before they go live.
2. Review
2.1 What we look at. When we review a Listing, we check among other things that: its name, description, images and category are accurate; it discloses that users are talking to an AI; it complies with the Acceptable Use Policy and does not encourage suicide or self-harm; it does not collect more personal information than it needs and links to the Publisher's privacy information where it collects any; it respects the rules for kid-labelled hubs; it does not infringe other people's rights; and it does not contain malware or hidden functionality.
2.2 Media skills. For licensing reasons, we do not list skills whose main purpose is to play YouTube, YouTube Music, Spotify, SoundCloud or Bandcamp content. Radio, aggregator and news skills can be listed if the Publisher has the rights needed to offer them.
2.3 Kid-labelled hubs and skills. A Listing labelled for children must keep no utterance text, no IP address, no memory and no conversation journal, must not include advertising, purchases or links that take a child out of the hub, and must be suitable for the age range stated.
2.4 Our decision. We decide in our reasonable discretion whether to approve a Listing. Approval means the Listing met our review criteria at the time of review; it is not an endorsement, a certification or a guarantee of the Listing's quality, accuracy or safety. A badge such as "Reviewed by Thalovant" has only that meaning.
2.5 Timing. We aim to review Listings promptly, but we do not guarantee a review time during the beta.
3. Your promises
You represent and warrant, for as long as your Listing is available, that:
- you own or have all rights, licences and permissions needed for your Listing and everything it includes, uses or plays, including content, data, trademarks, software and connections to third-party services;
- your Listing, its description and its behaviour are accurate and not misleading, and it does not impersonate any person or organisation;
- your Listing complies with all applicable laws, including privacy, consumer protection, accessibility and intellectual property laws, and with the terms of any third-party service it connects to;
- your Listing does not contain malware, tracking that users have not been told about, or functionality designed to circumvent our review;
- if your Listing collects or receives personal information, you provide users with a clear privacy notice, you have a lawful basis for the processing, and you handle the information securely; and
- the open-source components in your Listing are used in compliance with their licences.
4. Licences
4.1 To us. You grant us a worldwide, non-exclusive, royalty-free licence, for as long as your Listing is available and for a reasonable period afterwards to wind it down, to host, run, reproduce, display, distribute and make your Listing available to users, to review and test it, and to use its name, description and images to promote the catalogue and store.
4.2 To users. Users may use your Listing through the Services under the licence terms you specify in your submission, or, if you do not specify any, under a licence to use it through the Services for their own purposes.
4.3 Your marks. You may ask us to stop using your name or logo in promotion, and we will do so within a reasonable time, except in materials already produced.
5. Your responsibilities while listed
5.1 Maintenance. Keep your Listing working, secure and accurate. Fix security issues promptly and tell us at security@thalovant.com about any vulnerability that could affect users.
5.2 Support. Provide users with a way to contact you about your Listing and respond to reasonable requests.
5.3 Reports. Respond promptly to our questions about complaints or reports concerning your Listing.
6. Removal and restriction
6.1 When we act. We may decline, suspend, restrict or remove a Listing if it breaks these terms or the Acceptable Use Policy, if we receive a credible report that it is unlawful or unsafe, if a rights holder makes a valid claim, if a change in law or third-party terms requires it, or if it creates a security risk.
6.2 Statement of reasons. When we restrict or remove a Listing, we tell you what we did, why, and on what basis, unless the law prohibits it or telling you would compromise safety or an investigation.
6.3 Appeal. You can ask us to review our decision by writing to support@thalovant.com within 6 months. A person who was not involved in the original decision reviews it, and we tell you the outcome.
6.4 Reports from others. Anyone can report a Listing they believe is unlawful or breaks our rules at support@thalovant.com. We review reports diligently and objectively and tell the person who reported it what we decided.
6.5 Your withdrawal. You can remove your Listing at any time. Existing users may lose access to it once it is removed.
7. Fees
Listing is currently free and we do not offer paid Listings or revenue sharing. If we introduce them, we will publish separate terms, and they will apply only if you accept them.
8. Indemnity
You will defend Thalovant, its affiliates and their personnel against any third-party claim, and pay any resulting damages, fines, settlements and reasonable legal costs, arising from your Listing, your breach of these terms, or your violation of any law or third-party right. We will notify you promptly of the claim, let you control its defence and settlement (you may not settle in a way that imposes obligations on us without our consent), and give reasonable cooperation at your expense. If you are a consumer, a public body or otherwise protected by law from giving such an indemnity, this section applies only to the extent your law allows.
9. Disclaimer and liability
We provide the catalogue and store "as is". We do not guarantee that your Listing will be approved, featured, found by users, or kept available. The limitation of liability in the Business Terms (or, for developers without a Work plan, the Terms of Service) applies to these Publisher Terms.
10. Term and changes
These terms apply from your first submission until all your Listings are removed. Sections 3, 8 and 9 survive. We may update these terms with at least 30 days' notice; if you do not agree, you may remove your Listings before the change takes effect.
